GABE HRIS Terms of Service
1. Definitions
“Customer” means the entity that signs an Order Form or otherwise purchases a subscription. “Authorized User” means an individual permitted by Customer to use the Service. “Service” means the GABE HRIS software, related documentation, and platform features. “Order Form” means an order, checkout, statement of work, or similar document that specifies subscription plan, term, and fees. “Customer Data” means data submitted to the Service by or on behalf of Customer.
2. Agreement and Authority
These Terms govern access to and use of the Service operated by Gabe Technologies LLC (“Gabe Technologies,” “we,” “us,” or “our”). If you use the Service on behalf of an organization, you represent you have authority to bind that organization, and “you” refers to that organization.
3. Eligibility
Authorized Users must be at least 16 years old (or the age of digital consent in their jurisdiction). The Service is intended for business use.
4. Subscriptions, Order Forms, and Renewals
Access to the Service requires an active subscription. Subscriptions are provided for the term stated in the Order Form. Unless the Order Form states otherwise, subscriptions renew automatically for successive terms of equal length. Either party may prevent renewal by providing written notice before the renewal date.
5. Fees, Payment, and Taxes
Fees are billed in advance unless otherwise stated in the Order Form. Customer is responsible for all applicable taxes, duties, and similar governmental assessments, excluding taxes based on our net income. If payment is past due, we may suspend access after providing notice and a reasonable opportunity to cure.
6. Free Trials and Promotions
If we offer a free trial or promotional access, such access may be limited in time and features and may be withdrawn at any time. At the end of the trial, continued use requires a paid subscription unless otherwise stated.
7. Acceptable Use
Customer and Authorized Users must comply with the Acceptable Use Policy: https://gabehris.com/acceptable-use-policy/. Prohibited activities include:
- Violating applicable laws or regulations.
- Attempting unauthorized access, bypassing security controls, or probing the Service without written authorization.
- Introducing malware or malicious code, or using automated systems to materially degrade performance.
- Reverse engineering the Service except to the extent prohibited by law.
- Reselling, sublicensing, or providing the Service to third parties except as expressly permitted by an Order Form.
- Creating fraudulent HR records, falsifying audit trails, or misrepresenting timekeeping or compliance information.
8. Accounts and Security
Customer is responsible for maintaining secure credentials and administering Authorized User access. Customer must promptly notify us of suspected unauthorized access by emailing [email protected]. We may implement reasonable security measures including MFA options, access logs, and session controls.
9. Customer Data and Data Processing
Customer retains ownership of Customer Data. Customer is responsible for the legality, accuracy, and quality of Customer Data. We process Customer Data to provide, secure, and maintain the Service, and as otherwise permitted by these Terms and the DPA.

10. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect confidential information using reasonable care and will use it only to perform under these Terms. Confidential information does not include information that is publicly available through no fault of the receiving party or independently developed without use of the confidential information.
11. Third-Party Services and Integrations
The Service may support third-party integrations. Third-party services are provided under their own terms, and we are not responsible for third-party services. Customer is responsible for enabling integrations and ensuring appropriate permissions and configurations.
12. AI Features
Certain features may use artificial intelligence to generate recommendations, drafts, alerts, or analysis. AI outputs are advisory and may be incorrect or incomplete. Customer must ensure human review before taking any action based on AI outputs. AI features do not provide legal advice.

13. Intellectual Property and Feedback
We own the Service and all related software, documentation, and designs. Customer receives a limited, non-exclusive, non-transferable right to use the Service during the subscription term.
If Customer provides suggestions or feedback, we may use it without restriction or obligation, and we may incorporate it into the Service.
14. Support and Service Availability
Support is provided according to the Customer’s subscription plan. We will use commercially reasonable efforts to maintain availability of the Service. Planned maintenance or circumstances outside our reasonable control may cause temporary interruptions.
15. Suspension
We may suspend access to the Service if we reasonably believe there is a security risk, unlawful activity, violation of the AUP, or nonpayment. When feasible, we will provide notice and an opportunity to cure before suspension.
16. Term and Termination
Either party may terminate these Terms for material breach if the breach is not cured within 30 days after written notice. Upon termination, Customer’s right to use the Service ends. Customer may export data for up to 30 days after termination, subject to the DPA and applicable law.
17. Warranty Disclaimer
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Compliance tools assist with compliance workflows but do not guarantee compliance.
18. Indemnification
Customer will indemnify and hold harmless Gabe Technologies from claims arising from Customer Data, Customer’s use of the Service in violation of these Terms, or Customer’s violation of applicable laws, including employment, privacy, and export laws.
19. Limitation of Liability
To the maximum extent permitted by law, Gabe Technologies will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill. Our total liability for all claims related to the Service will not exceed the greater of fees paid in the prior 12 months or $10,000 USD.
20. Export Compliance
Customer agrees to comply with applicable export control laws and regulations and will not export or use the Service in violation of those laws.
21. U.S. Government Use
The Service is provided as “Commercial Computer Software” and “Commercial Computer Software Documentation” as defined in FAR 12.212 and DFARS 227.7202.
22. Force Majeure
Neither party will be liable for delays or failures due to events beyond reasonable control, including natural disasters, acts of government, labor disputes, or internet service disruptions.
23. Changes to the Terms
We may update these Terms from time to time. The “Last Updated” date indicates when changes were made. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
24. Notices
Legal notices to Gabe Technologies should be sent to [email protected]. Security notices should be sent to [email protected]. Privacy requests should be sent to [email protected].
25. Assignment
Customer may not assign these Terms without our prior written consent, except in connection with a merger or sale of substantially all assets. We may assign these Terms as part of a corporate reorganization, merger, or sale.
26. Severability and Entire Agreement
If any provision is unenforceable, the remaining provisions remain in effect. These Terms, the AUP, the Privacy Policy, and the DPA form the entire agreement regarding the Service and supersede prior agreements on that subject.
